Corporate lawyer
We are seeking candidates for a position of Corporate lawyer for our client, a well-established Ukrainian Private Equity Fund.
Responsibilities
Providing legal opinions on corporate and other legal matters
M&A advisory and transactional work (due diligence, structuring, negotiating and drafting transactional documents;)
Advising on various corporate and corporate structuring (with a focus on such jurisdictions as Delaware, Cyprus, and the UK) and commercial matters (commercial and M&A contracts governed by English, US, Cyprus, and Ukrainian law), including experience in working on M&A and venture capital transactions)
Drafting and reviewing corporate documents (board and shareholders’ resolutions, Articles of Association, PoAs, etc.)
Reviewing and drafting finance and commercial agreements, including SPAs, SHAs, option agreements, loan agreements, pledge agreements, and security agreements, governed by English, US, and Cyprus law,
Overseeing and enforcing compliance with corporate legislation and requirements in various jurisdictions (such as Cyprus, UK, USA),
Qualification requirements:
Degree in law from a reputable Ukrainian university (Foreign LL.M. will be an advantage)
3+ years of relevant professional experience in corporate, commercial, and contract law with an family office or international company or at one of the Top-10 Ukrainian law firms
Excellent command of English (including legal English) and Ukrainian is a MUST
Excellent knowledge of corporate law, civil and commercial law; previous experience in Corporate/M&A
Participation in negotiations
