We are seeking a highly motivated and experienced senior associate specializing in Corporate Law, M&A and Antitrust Law to join our legal department. The successful candidate will play a key role in managing corporate transactions, corporate restructuring, mergers, and acquisitions.
PROFESSIONAL REQUIREMENTS:
- Master’s degree in Law;
- 5+ years of professional experience in a law firm or as in-house lawyer;
- 5+ years of professional experience in Corporate Law and supporting of legal entities incorporated in Cyprus;
- 5+ years of professional experience in M&A and English Contract Law;
- 3+ years of professional experience in Ukrainian Competition Law;
- advanced Legal English is a must (confident B2-C1);
- experience in drafting and negotiating contracts with a deep understanding of legal terms and commercial implications.

- skills in managing multiple legal matters simultaneously while excelling in high-pressure situations;
- exceptional skills in negotiation and dispute resolution;
RESPONSIBILITIES:
- supporting of legal entities incorporated in Cyprus and BVI, including its strike-off;
- drafting and reviewing of various documents necessary for the companies' day-to-day operations (resolutions, PoAs, applications, letters, agreements);
- leading and managing corporate transactions, including mergers, acquisitions, joint ventures, and restructuring;
- drafting, reviewing, and negotiating complex transaction documents (term sheet, SPA, SHA, disclosure letter, COA, NDA, NCA, etc.);
- assisting in filing documents for obtaining merger clearance of Antimonopoly Committee of Ukraine;
- providing guidance on international tax issues and addressing any emerging tax matters;
- conducting legal due diligence and identifying key risks and opportunities in potential deals, preparing legal due diligence reports;
- coordinating with internal and external clients to ensure smooth execution of transactions;
- advising on strategic legal issues, risk management, and business operations;
- legal research of legislation of various jurisdictions (UA, Cyprus, BVI etc.);
- staying updated on relevant laws, regulations, and market trends.
